You also agree to and accept the Greydjie Privacy Policy (“Privacy Policy”), which describes how we use the information you provide to Greydjie. The Privacy Policy is incorporated into this Agreement by reference. Please read this Agreement and our Privacy Policy carefully as you agree to be bound by them.
THIS AGREEMENT IS A LEGALLY BINDING AGREEMENT BETWEEN YOU, AN INDIVIDUAL OR A SINGLE ENTITY (“YOU” OR “YOUR”), GREYDJIE (“GREYDJIE”) THAT SETS FORTH THE TERMS AND CONDITIONS FOR YOUR USE OF OUR SITE AND SERVICES, ANY ACCOUNT YOU MAY ESTABLISH ON THE SITE, AND YOUR PURCHASE OR USE OF ANY PRODUCTS OR SERVICES OFFERED ON THE SITE. BY ACCESSING AND/OR USING THE SITE OR SERVICES, YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THE AGREEMENT AND TO ABIDE BY ALL OF THE TERMS AND CONDITIONS SET FORTH HEREIN. YOU MAY NOT ACCESS OR USE THIS SITE, REGISTER FOR A GREYDJIE ACCOUNT, OR ACCEPT THIS AGREEMENT UNLESS YOU ARE AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE WITH ALL PROVISIONS OF THIS AGREEMENT, PLEASE DO NOT ACCESS AND/OR USE THE SITE AND SERVICES, SIGN UP FOR AN ACCOUNT, OR PURCHASE PRODUCTS OR SERVICES THROUGH THE SITE.

a) Greydjie is an online medical clothing retailer. b) Use of the Website is offered to you conditioned on acceptance without modification of all the terms, conditions and notices contained in these Terms, as may be posted on the Website from time to time. greydjie.com at its sole discretion reserves the right not to accept a User from registering on the Website without assigning any reason thereof.
Arbitration Notice
UNLESS YOU OPT OUT OF ARBITRATION WITHIN 30 DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE SPECIFIED IN THE DISPUTE RESOLUTION SECTION BELOW, AND EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SUCH SECTION, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
Usage Restrictions
All content appearing on the Greydjie. website, including all images, text, audio and video clips, is copyrighted and/or other intellectual property rights or licenses owned by Greydjie. All content on the Greydjie. website is copyrighted in its entirety under the copyright laws of the United States. Greydjie. grants you a limited license to access and make personal use of the content of this website. The content of the Greydjie. website is for the personal, non-commercial use of our website users only.
Site Use
1.1. License. Subject to the terms of this Agreement, Uniform Advantage hereby grants you (and you agree to) a limited, non-exclusive, non-transferable license to access and make personal use of the services offered through this website, including shopping services and features. This License does not cover any resale or commercial use of the Site functionality or content, or the right to access or use the Site or Services for any of the restricted purposes set forth in Section 1.2. Uniform Advantage may terminate this license at any time and for any reason in its sole discretion.
1.2. Certain Restrictions. The rights granted to You in this Agreement are subject to the following restrictions: (a) You shall not upload or provide information to Uniform Advantage through the Site that is false, incomplete, or inaccurate; (b) You shall not license, sublicense, reproduce, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or its contents without the express written consent of Uniform Advantage; (c) You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site or Services; (d) You shall not access the Site or Services in order to build a similar or competitive service, or to download, copy or collect content or account information for the benefit of another merchant; (e) except as expressly stated herein, no part of the Site or Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means without Uniform Advantage’s express written consent; and (f) You shall not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information or content (including images and text descriptions) of the Site or Services without Uniform Advantage’s express written consent. Any future release, update, or other addition to the functionality of the Site or Services shall be subject to the terms of this Agreement. All use of the Site shall be in accordance with the Acceptable Use Policy set forth in Section below.
1.3. Modification. Greydjie reserves the right, at any time, to modify, suspend, or discontinue the Site or any part thereof, with or without notice. You agree that Greydjie will not be liable to You or to any third party for any modification, suspension, or discontinuance of the Site or any part There of.
1.4. Ownership. You acknowledge that any intellectual property rights in the Site and Services, including our rights to copyrighted material, patents, trademarks, service marks, and trade secrets (“Intellectual Property”) are owned by Greydjie and its licensors, and neither the limited license granted in Section 1.1, nor our provision of the Site or Services under this Agreement shall transfer to You or any third party any rights, title or interest in or to such Intellectual Property. Greydjie reserves all rights not expressly granted in this Agreement.
User Account, Password, and Security
You will receive a password and account designation upon completing the Website’s registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify greydjieuniforms.com of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. uniformcraft.com cannot and will not be liable for any loss or damage arising from your failure to comply with this Section .
Terms of Sale
A) Products and Pricing. All products or services listed on the Site are subject to change, as is Product information, pricing, and availability. Greydjie reserves the right, at any time, to modify, suspend, or discontinue any Site feature or the sale of any Product with or without notice. You agree that Greydjie will not be liable to you or to any third party for any modification, suspension, or discontinuance of any Site feature or product. In the event a Product is listed at an incorrect price or with incorrect information, Greydjie shall have the right, prior to the acceptance of your order (as described in Section C below), to decline or cancel any such order, whether or not the order has been confirmed and/or your credit or debit card charged. If Your credit or debit card has already been charged for the order and we will cancel your order, we will issue a credit to Your credit or debit card in the amount of the charge.
B) Payment Terms. For each product You order on the Site, You agree to pay the price applicable for the Product at the time You submitted Your order (“Product Price”), the shipping fees for the shipping service you select (“Shipping Fees”), and any applicable Taxes (defined below). Greydjie will automatically bill Your credit or debit card submitted as part of the order process for such amounts, and You hereby authorize us to do so. You will be solely responsible for payment of all taxes (other than taxes directly imposed on Uniform Advantage’s business activity in a state, such as income taxes), fees, duties, and other governmental charges, and related penalties and interest, arising from the Product purchase (“Taxes”) not withheld by Greydjie.
C) Orders. Your receipt of an order confirmation from us does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Greydjie reserves the right at any time after receipt of Your order to accept, decline, or cancel Your order (in whole or in part) for any reason. We may require additional verifications or information before accepting an order. Your order is not accepted until it is shipped (or a portion of the order is shipped). Notwithstanding the foregoing, You agree that if we cancel all or part of Your order, Your sole and exclusive remedy is that we (a) issue a credit to your credit or debit card in the amount charged for the cancelled portion (if Your credit or debit card has already been charged for the order); or (b) not charge Your credit or debit card for the cancelled portion of the order.
D) Shipping & Handling Terms. Any delivery dates provided by Greydjie are estimates. Greydjie reserves the right to make deliveries in installments. Greydjie will send You an email when your order has shipped and You may review Your order and shipping & handling information on your Greydjie Account page.
E) U.S. & U.S. Territory Shipments. Best Way Ground orders usually ship out within 24 hours (in stock, non embroidery items) excluding weekends and holidays. Although delivery times may vary, you should receive your order within 3 – 5 business days. Delivery time excludes weekends & holidays. free shipping oders over $100+
3-5 Business Day Express and Next Business Day orders placed by 4 PM EST Monday through Friday will ship out the same day, excluding holidays. Orders placed after4 PM EST will ship out on the next business day, excluding weekends & holidays. Delivery time excludes weekends & holidays. . All orders sent to a P.O. Box or APO/FPO Address will be delivered priority mail via the United States Postal Service, and cannot be guaranteed for express delivery.
Backorder Items: If you have selected an item with a backorder date, it will be shipped separately best way ground as soon as it arrives in our facility.

greydjie.com provides a number of Internet-based services through the Web Site (all such services, collectively, the “Service”). One such service enables users to order original merchandise such as medical clothing. The Products can be ordered through the Website through various methods of payments offered. The sale/purchase of Products shall be additionally governed by specific policies of sale, like cancellation policy, return policy, etc. and all of which are incorporated here by reference. In addition, these terms and policies may be further supplemented by Product specific conditions, which may be displayed on the webpage of that Product
Privacy Policy:
The User hereby consents, expresses and agrees that he has read and fully understands the ” Privacy Policy” of greydjie.com. The user further consents that the terms and contents of such Privacy Policy are acceptable to him.
Limited User:
The User agrees and undertakes not to reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Website. Limited reproduction and copying of the content of the Website is permitted provided that uniformcraft’s name is stated as the source and prior written permission of greydjie.com is sought. For the removal of doubt, it is clarified that unlimited or wholesale reproduction, copying of the content for commercial or non-commercial purposes and unwarranted modification of data and information within the content of the Website is not permitted.
6. User Conduct and Rules:
You agree and undertake to use the Website and the Service only to post and upload messages and material that are proper. By way of example, and not as a limitation, you agree and undertake that when using a Service, you will not:
(a) defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others;
(b) publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information;
(c) upload files that contain software or other material protected by intellectual property laws unless you own or control the rights thereto or have received all necessary consents; you own or control the rights thereto or have received all necessary consents;

(e) conduct or forward surveys, contests, pyramid schemes or chain letters;

User Warranty and Representation:
The user guarantees, warrants, and certifies that you are the owner of the content which you submit or otherwise authorised to use the content and that the content does not infringe upon the property rights, intellectual property rights or other rights of others. You further warrant that to your knowledge, no action, suit, proceeding, or investigation has been instituted or threatened relating to any content, including trademark, trade name service mark, and copyright formerly or currently used by you in connection with the Services rendered by uniformcraft.com.
8. Exactness Not Guaranteed:
greydjieuniforms.com hereby disclaims any guarantees of exactness as to the finish and appearance of the final Product as ordered by the user. The quality of any products, Services, information, or other material purchased or obtained by you through the Website may not meet your expectations. Alterations to certain aspects of your order such as the merchandise brand, size, color etc. may be required due to limitations caused by availability of product difference in size charts of respective brands etc. In this instance you agree that uniformcraft.com will send an approval request via the email address, which you submitted when placing your order. If you do not agree with the requested change you retain the right to reject the requested production change by replying to it within 10 days of it being sent to you. greydjieuniforms.com may re-request that you accept a production alteration one additional time if an alternative method to send your merchandise is available. If you reject this 2nd request your order will be cancelled and you will be fully refunded via your initial method of payment.
9. Intellectual Property Rights:
a) Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, greydjieuniforms.com owns all Intellectual Property Rights to and into the Website, including, without limitation, any and all rights, title and interest in and to copyright, related rights, patents, utility models, trademarks, trade names, service marks, designs, know-how, trade secrets and inventions (whether patentable or not), goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks. You acknowledge and agree that you shall not use, reproduce or distribute any content from the Website belonging to uniformcraft.com without obtaining authorization from uniformcraft.com.
b) Notwithstanding the foregoing, it is expressly clarified that you will retain ownership and shall solely be responsible for any content that you provide or upload when using any Service, including any text, data, information, images, photographs, music, sound, video or any other material which you may upload, transmit or store when making use of our various Service. However, with regard to the product customization Service (as against other Services like blogs and forums) you expressly agree that by uploading and posting content on to the Website for public viewing and reproduction/use of your content by third party users, you accept the User whereby you grant a non-exclusive license for the use of the same.

When You link to a Third Party Site, the applicable service provider’s terms and policies, including privacy and data gathering practices govern. You should make whatever investigation You feel necessary or appropriate before proceeding with any transaction with any Third Party Site.
2. Release. You hereby release us, our officers, employees, agents, affiliates, subsidiaries, parents, joint ventures, successors and any other companies under common control with us from claims, demands, any and all losses, damages, rights, claims, and actions of any kind including personal injuries, death, and property damage, that are either directly or indirectly related to or arise out of any interactions with or conduct of Third Party Sites.
Limitation of Liability
You acknowledge that greydjie shall not be liable to You for any direct, indirect, incidental, special, consequential, or exemplary damages (including damages for lost profits, use of user information, loss of data, business interruption and the like), whether in an action based in contract or tort, arising out of or in connection with the use of the Services and its accompanying equipment by You or by anyone who uses the Services through Your account. Notwithstanding the foregoing, the total amount of our liability to You will be limited to the amount You paid for the use of the Services. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to You. Additionally, this provision is not intended to limit greydjie’s liability in the event of Greydjie’s willful or intentional misconduct.
Indemnification
You agree to indemnify, defend and hold harmless greydjie.com from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by uniformcraft.com that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms.
Disputes
You will resolve any claim, cause of action or dispute (“claim”) you have with us arising out of or relating to this Statement or greydjie.com exclusively in a state or federal court located in Dallas, TX. The laws of the State of Texas will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Dallas, Texas for the purpose of litigating all such claims.
If anyone brings a claim against us related to your actions, content or information on greydjie.com, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
WE TRY TO KEEP GREYDJIE.COM UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING GREYDJIE.COM “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT GREYDJIE.COM WILL BE SAFE OR SECURE. GREYDJIE.COM IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE 1542, WHICH SAYS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.” WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR GREYDJE.COM , EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR GREYDJIE.COM WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, GREYDJIE.COM’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
BY AGREEING TO THE ARBITRATION OF DISPUTES AS SET FORTH HEREIN, YOU AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND LIMITING YOUR RIGHT TO APPEAL. DO NOT USE THE SITE IF YOU DO NOT AGREE TO THE FOREGOING BINDING ARBITRATION PROVISIONS.
Changes
By rejecting any changes to this Agreement, you agree that you will arbitrate any Dispute between you and Uniform Advantage in accordance with the provisions of this Section as of the date you first accepted this Agreement (or accepted any subsequent changes to this Agreement).
Your Choices
If you do not want to settle Disputes by arbitration as described above, you will notify us by sending us written notice (including by email to contact@greydjieuniforms.com telling us that you do not want to use arbitration, within thirty (30) days of the date on which you agreed to this Agreement (such notice, an “Arbitration Opt-out Notice”). If you do not provide us with an Arbitration Opt-out Notice within the thirty (30) day period, you will be deemed to have knowingly and intentionally waived your right to litigate any dispute except for a Small Claims Action and an IP Protection Action as stated above.
Termination:
a) greydjie.com may suspend or terminate your use of the Website or any Service if it believes, in its sole and absolute discretion that you have breached, violated, abused, or unethically manipulated or exploited any term of these Terms or anyway otherwise acted unethically.
b) Notwithstanding Section 15.a above, these Terms will survive indefinitely unless and until uniformcraft.com chooses to terminate them.
c) If you or greydjie.com terminates your use of the Website or any Service, greydjie.com may delete any content or other materials relating to your use of the Service and greydjie.com will have no liability to you or any third party for doing so.
d) You shall be liable to pay for any Service or product that you have already ordered till the time of Termination by either party whatsoever. Further, you shall be entitled to your royalty payments as per the User License Agreement that has or is legally deemed accrued to you.
Severability
If any provision of the Terms is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision or part of such provision and the remaining part of such provision and all other provisions of these Terms shall continue to be in full force and effect.
Report Abuse:
As per these Terms, users are solely responsible for every material or content uploaded on to the Website. Users can be held legally liable for their contents and may be held legally accountable if their contents or material include, for example, defamatory comments or material protected by copyright, trademark, etc. If you come across any abuse or violation of these Terms, please report to contact@greydjieuniforms.com.
